# Vendor Terms and Conditions **Effective Date: September 25, 2026** These Vendor Terms and Conditions govern the registration and use of the PourGen platform by vendors. By registering as a vendor, you agree to these terms. ## 1. Vendor Eligibility Vendors must provide accurate and complete information during registration and must have the legal right and authority to sell or provide the products or services they list on PourGen. PourGen may request additional information or documentation to verify a vendor's identity or business. ## 2. Vendor Account Vendors are responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their accounts. Vendors must promptly update their account information when it changes. ## 3. Product and Service Listings Vendors are responsible for ensuring that all listings are: * Accurate and complete. * Properly described. * Correctly priced. * Legally permitted. * Supported by appropriate images and information where applicable. * Compliant with applicable laws and regulations. Vendors must not list counterfeit, stolen, illegal, prohibited, or otherwise unauthorized products or services. ## 4. Pricing Vendors are responsible for setting accurate prices and clearly communicating applicable charges. A vendor must honor an order at the price displayed to the customer unless cancellation is permitted under applicable platform rules or law. ## 5. Order Fulfillment Vendors are responsible for processing and fulfilling orders accurately and within the timeframes communicated to customers. Vendors must provide accurate stock and availability information and should promptly update listings when products or services become unavailable. ## 6. Customer Service Vendors are responsible for responding to customer inquiries relating to their products or services and for handling applicable returns, cancellations, complaints, and warranty matters. ## 7. Payments and Fees Where applicable, PourGen may charge commissions, transaction fees, subscription fees, listing fees, or other fees. Any applicable fees and payment arrangements will be communicated to vendors through the platform or relevant commercial agreement. Vendor payouts may be subject to applicable payment processing requirements, verification, refunds, disputes, and other adjustments. ## 8. Taxes and Legal Compliance Vendors are responsible for complying with all applicable laws, licenses, permits, taxes, duties, consumer protection requirements, and other regulatory obligations relating to their business and listings. ## 9. Prohibited Activities Vendors must not: * Sell illegal or prohibited products. * Sell counterfeit or fraudulent products. * Provide false business or product information. * Manipulate orders, reviews, ratings, or transactions. * Attempt to defraud customers or PourGen. * Circumvent PourGen fees or security systems. * Upload malicious software or harmful content. * Use customer information for unauthorized purposes. * Violate the intellectual property rights of others. ## 10. Intellectual Property Vendors must have the necessary rights to use product images, descriptions, logos, trademarks, videos, and other content uploaded to PourGen. Vendors grant PourGen a non-exclusive permission to display and use submitted listing content as reasonably necessary to operate, market, and promote the platform. ## 11. Customer Information Vendors may receive customer information necessary to process orders or provide services. Vendors must use customer information only for legitimate purposes related to the transaction and must protect such information from unauthorized access, disclosure, or misuse. ## 12. Vendor Reviews Customers may submit reviews or ratings regarding products, services, and vendor experiences. Vendors must not manipulate reviews or offer misleading incentives intended to influence reviews. ## 13. Suspension and Termination PourGen may suspend, restrict, or terminate a vendor account if the vendor violates these terms, applicable laws, platform rules, or engages in conduct that may harm customers or the platform. PourGen may also remove or restrict listings that violate applicable requirements. ## 14. Vendor Responsibility Vendors are responsible for the products and services they offer through PourGen, including their legality, quality, descriptions, fulfillment, warranties, and applicable customer obligations. ## 15. Platform Availability PourGen will make reasonable efforts to maintain platform availability but does not guarantee uninterrupted or error-free operation. ## 16. Limitation of Liability To the extent permitted by applicable law, PourGen will not be liable for indirect, incidental, special, or consequential losses arising from vendor activities, customer transactions, or use of the platform. ## 17. Changes to Vendor Terms PourGen may update these Vendor Terms and Conditions from time to time. Updated terms will be published on the platform with a revised effective date. ## 18. Governing Law These terms shall be governed by and interpreted in accordance with the applicable laws of Bangladesh, unless otherwise required by applicable law. ## 19.
